Job Vacancy: Governance, Legal & Risk Management Officer

The Malaysian Timber Certification Council (MTCC) is a leading organisation championing sustainable forest management practices. We seek a passionate, energetic, enthusiastic and goal-driven Governance, Legal & Risk Management Officer to join our mission.

In this dynamic role, you will play a critical role in supporting the development and execution of strategic initiatives and special projects across the organization. The Integrity, Governance, Legal & Risk Management Officer at the Malaysian Timber Certification Council (MTCC) plays a critical role in ensuring compliance with legal, regulatory, and governance standards. This position is responsible for upholding ethical business practices, strengthening corporate governance, mitigating organizational risks, and overseeing legal matters related to MTCC’s operations. The officer will report directly to the CEO’s Office and to the Chairman and Board of Trustees on Integrity issues.

Fresh graduates will NOT be considered.
 7Entry qualificationBachelor’s degree in Law.
 
Candidates with Corporate Governance, Risk Management experience will be prioritised.
 
Professional certifications (e.g., Certified Integrity Officer (CeIO), Certified Risk Professional (CRP), or related governance qualifications) are an advantage.
 8Language qualification and competencyExcellent written and verbal communication skills in both English and Bahasa Melayu. 
 
Skill: MS Office, Ai Software, Project Management software
 
Able to lead and work independently. 
 
Excellent problem solving, negotiation and analytical skills.

 9Experience1. 5+ years of experience in integrity, governance, legal, compliance, or risk management roles, preferably in a corporate or regulatory environment.
 
2. Strong knowledge of corporate governance, risk management, and Malaysian regulatory frameworks, including MTCS, SSM, and anti-corruption laws.

 11Responsibilities                                                        Integrity & Governance
1. Develop, implement, and monitor integrity and governance frameworks, ensuring alignment with MTCC policies and regulatory requirements.
2. Promote a culture of integrity, ethical behavior, and accountability within MTCC.
3. Ensure compliance with MTCS (Malaysian Timber Certification Scheme) requirements, corporate governance best practices, and regulatory guidelines.
4. Manage the whistleblowing mechanism and conduct internal investigations related to integrity breaches.
5. Prepare reports for the Chairman and Board of Trustees on governance, integrity, and compliance matters.
6. Liaise with government authorities, regulatory agencies, and stakeholders on governance and ethical issues.
7. Undertake internal audits
8. Serve as secretariat to Supreme Integrity Committee (SIC) under the Board of Trustees (BoT). 

Legal & Compliance
1. Provide legal advice and guidance on MTCC’s policies, contracts, and regulatory obligations.
2. Draft, review, and negotiate agreements, MoUs, and other legal documents to safeguard MTCC’s interests.
3. Ensure compliance with laws, regulations, and industry standards, including corporate governance, certification requirements, and financial compliance.
4. Monitor legal and regulatory developments, assessing their impact on MTCC and advising the Board accordingly.
5. Represent MTCC in legal proceedings, contract negotiations, and regulatory discussions when necessary.
6. Maintain proper documentation and legal records for organizational compliance.

Risk Management
1. Develop and implement a comprehensive risk management framework to identify, assess, and mitigate risks related to MTCC’s operations.
2. Conduct risk assessments, propose mitigation strategies, and provide periodic risk reports to the Board of Trustees.
3. Oversee business continuity planning and crisis management protocols.
4. Collaborate with internal and external stakeholders to strengthen MTCC’s risk management and compliance strategies.

Board Secretarial Support & Corporate Reporting
1. Prepare and present reports on integrity, governance, legal, and risk management matters to the Chairman and Board of Trustees.
2. Support the Board in ensuring compliance with Suruhanjaya Syarikat Malaysia (SSM) regulations, Companies Act 2016, and other relevant corporate governance laws.
3. Provide secretarial support for Board meetings, ensuring proper documentation of minutes and resolutions.
